Who We Are

MetalCut Pro is a software platform owned and operated by MetalCut Pro LLC, a limited liability company organized under the laws of the Commonwealth of Virginia. The Services are designed to assist users with planning, estimating, configuration, and material-related workflows for metal building and related construction projects.

Eligibility

You must be at least 18 years old and able to enter into a binding legal agreement to use the Services. By using the Services, you represent and warrant that you meet these requirements.

Acceptance of Terms

By using the Services, creating an account, clicking "I Agree," checking an acceptance box, submitting data, or otherwise interacting with the Services, you agree to these Terms and our Privacy Policy.

Description of Services

MetalCut Pro provides software tools and related website features that may include, without limitation:

• Building configuration and design tools
• Estimation and planning tools
• Material lists, cut lists, and hardware lists
• Downloadable reports and PDF documents
• Account features and user dashboards
• Subscription-based access tiers
• Support content, guides, and documentation

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice.

Important Disclaimer About Results

MetalCut Pro is a planning and estimating tool only. The Services do not replace professional judgment, field verification, engineering review, code compliance review, manufacturer review, shop validation, installer review, or final project approval.

All dimensions, quantities, specifications, assumptions, configurations, material outputs, cut lists, estimates, and generated results must be independently reviewed and verified by the user before quoting, ordering, purchasing, fabricating, manufacturing, delivering, or installing any product or structure.

You acknowledge and agree that:

• You are solely responsible for verifying all outputs before reliance or use
• Actual field conditions, engineering standards, manufacturer practices, inventory, local code requirements, and installation conditions may differ from generated outputs
• Generated outputs may depend on user-entered data and assumptions, which may be incomplete, inaccurate, or unsuitable for a specific project

No Engineering, Construction, or Professional Advice

The Services are provided for informational, workflow, planning, and estimation purposes only. Nothing on the website or in the software constitutes engineering advice, architectural advice, legal advice, code compliance certification, fabrication approval, installation instruction, or professional consulting unless expressly stated in a separately signed written agreement by MetalCut Pro LLC.

User Responsibility

You agree that you are solely responsible for:

• All data you enter into the Services
• Verifying dimensions, clearances, structural assumptions, counts, and outputs
• Reviewing compatibility with your manufacturer, engineering requirements, and local code requirements
• Confirming all pricing, availability, material lengths, gauges, colors, hardware counts, and other production details
• All decisions made based on the Services

You further agree not to rely exclusively on the Services for final purchasing, fabrication, engineering, or installation decisions.

Accounts

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information and to update it as necessary. We may suspend or terminate accounts that contain false information, violate these Terms, or create risk for the Services or other users.

Subscription Plans, Billing & Renewals

Free Trial. MetalCut Pro offers a single free trial, available to qualifying metal building and carport manufacturers upon request and manual approval. The trial includes 14 days of access with up to 50 PDF generations (whichever limit is reached first). No credit card is required. Trial eligibility is determined at MetalCut Pro LLC's sole discretion. We reserve the right to verify business legitimacy and decline trial requests.

Promo codes and trial activation links are single-use and non-transferable. If you do not subscribe before your trial ends, your access will be paused — you will not be charged.

If the Services are offered on a paid or subscription basis:

• You agree to pay all applicable fees, charges, taxes, and recurring amounts shown at checkout or in your plan
• Subscription plans may renew automatically unless canceled in accordance with the applicable plan terms
• Prices, features, and plan limits may change upon notice as permitted by law
• Failure to pay may result in suspension or termination of access

Cancellation & Refunds

You may cancel your subscription in accordance with the cancellation process described on the website or in your account settings. Unless otherwise stated in a separate written refund policy:

• Fees are non-refundable once billed
• Partial billing periods are not prorated
• No refunds are provided for unused time, unused features, or failure to cancel before renewal

Refunds, credits, or exceptions may be provided at the sole discretion of MetalCut Pro LLC. For full refund eligibility and procedures, including our 7-day first-billing money-back window, please see our Refund Policy.

Permitted Use

Subject to these Terms, MetalCut Pro LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal use, as applicable. You may not:

• Copy, reproduce, republish, or resell the Services except as expressly authorized
• Reverse engineer, decompile, scrape, or attempt to extract source code or underlying logic
• Interfere with the operation or security of the Services
• Use the Services to violate any law, regulation, third-party right, or contractual duty
• Upload malicious code, harmful content, or unauthorized automation
• Share paid account access beyond your permitted plan limits
• Transfer, share, or resell promo codes or trial activation links, which are single-use and non-transferable
• Misrepresent your business or eligibility to obtain trial access or plans for which you do not qualify

Intellectual Property

The Services, including all software, logic, workflows, formulas, calculations, text, graphics, branding, logos, interfaces, reports, downloadable content, and related materials, are owned by or licensed to MetalCut Pro LLC and are protected by intellectual property laws. "MetalCut Pro," related branding, and all associated marks, logos, and product names are the property of MetalCut Pro LLC. You may not use them without prior written permission.

User Data & Inputs

You retain ownership of the data you submit to the Services. By using the Services, you grant MetalCut Pro LLC a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, and use your submitted data solely as reasonably necessary to operate, maintain, secure, improve, and provide the Services, and to comply with legal obligations.

Feedback

If you provide suggestions, ideas, feedback, improvement requests, or feature proposals, you grant MetalCut Pro LLC the right to use them without restriction or compensation to you.

Third-Party Services

The Services may integrate with or link to third-party platforms, payment processors, hosting providers, analytics tools, or external services. MetalCut Pro LLC is not responsible for third-party services, content, uptime, policies, or practices.

Availability

We do not guarantee that the Services will always be available, uninterrupted, secure, accurate, or error-free. Maintenance, upgrades, outages, third-party failures, and other issues may affect performance or access.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. METALCUT PRO LLC DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY AND COMPLETENESS
• RELIABILITY AND AVAILABILITY
• ERROR-FREE OPERATION
• RESULTS OBTAINED FROM USE OF THE SERVICES

We do not warrant that the Services will meet your requirements or that any output will be correct for fabrication, purchasing, engineering, or installation purposes.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, METALCUT PRO LLC, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, PROJECT DELAY, PROCUREMENT COSTS, FABRICATION ERRORS, INSTALLATION ERRORS, MATERIAL SHORTAGES, OR OTHER LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

Without limiting the foregoing, MetalCut Pro LLC is not responsible for any loss or damage arising from:

• Inaccurate user input
• Reliance on generated calculations or reports
• Engineering or code compliance issues
• Ordering or fabrication decisions
• Installation outcomes
• Manufacturer-specific differences
• Inventory or supplier discrepancies
• Project-specific jobsite conditions

Indemnification

You agree to defend, indemnify, and hold harmless MetalCut Pro LLC and its affiliates, officers, employees, contractors, licensors, and service providers from and against any claims, demands, actions, damages, losses, liabilities, judgments, settlements, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your submitted content or data
• Your reliance on the Services
• Your fabrication, ordering, engineering, sales, quoting, or installation decisions

Suspension & Termination

We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if you violate these Terms, payment fails or remains overdue, your use presents security or legal risk, or we discontinue the Services. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, indemnification, and governing law.

Privacy

Your use of the Services is also subject to our Privacy Policy, which is incorporated into these Terms by reference.

Communications

You agree that we may send you notices and communications electronically, including by email, through the website, through your account, or through in-app notices. This includes transactional and program-related communications such as account verification, trial status updates, trial expiration notices, billing notifications, manufacturer trial program follow-ups, and feature announcements relevant to your account.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to conflict of law rules.

Venue

Any legal action or proceeding arising out of or related to these Terms or the Services shall be brought exclusively in the state or federal courts located in the United States, and you consent to the personal jurisdiction of those courts.

Changes to These Terms

We may update these Terms from time to time. The updated version will become effective when posted, unless otherwise stated. Your continued use of the Services after updated Terms are posted constitutes your acceptance of the revised Terms.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.

Entire Agreement

These Terms, together with the Privacy Policy and any additional written terms expressly incorporated by reference, constitute the entire agreement between you and MetalCut Pro LLC regarding the Services.
